To view samples of the Investment Policy Statements generated by IPS AdvisorPro®, please read and indicate your acceptance of the following confidentiality statements. Upon completion of this Non-Disclosure Agreement ("NDA"), an email will be sent to you with the samples attached.


NON-DISCLOSURE AGREEMENT

This agreement is made as of today's date by and between: BLIPS Partners LLC. and the party requesting the sample output ('REQUESTOR'). This Agreement shall govern the conditions of disclosure by BLIPS PARTNERS LLC. to PROSPECT of certain "Confidential Information" originated by BLIPS PARTNERS LLC. including sample investment policy statements and other intellectual property relating to investment policy statement creation technology, owned by BLIPS PARTNERS LLC. With regard to the Confidential Information, PROSPECT hereby agrees:

  1. Not to use the information therein except for evaluating its interest in entering a business relationship with BLIPS PARTNERS LLC. based on the Confidential Information.
  2. To safeguard the information against disclosure to others with the same degree of care as exercised with its own information of a similar nature.
  3. Not to disclose the information to others, without the express written permission of BLIPS PARTNERS LLC, except that which: a. PROSPECT can demonstrate by written records was previously known; b. are now, or become in the future, public knowledge; c. are lawfully obtained by PROSPECT from sources independent of BLIPS PARTNERS LLC;
  4. That PROSPECT shall not directly or indirectly acquire any interest in, or design, create, manufacture, sell or otherwise deal with any item or product, containing, based upon or derived from the Confidential Information, except as may be expressly agreed to in writing by BLIPS PARTNERS LLC.
  5. That the secrecy obligations of PROSPECT with respect to the Confidential Information shall continue for three full years.
  6. Any content you have access to in any document you may download from or view on www.IPSAdvisorPro.com is protected by U.S. copyright laws.
  7. Access to these documents are solely for the purpose of helping you to better understand the offerings and capabilities of IPS AdvisorPro®. They are not to be copied or adapted for your usage.

Any content you see in the accessible documents is likely to be changed when you begin using the system. IPS AdvisorPro® permits and expects you to make changes to content so that the IPSs you create reflect the practices and procedures within your practice.

IN WITNESS WHEREOF the Parties have hereunto executed this Agreement as of the day and year first above written.
